Are you a Corporate Law Clerk with a knack for closing deals and navigating complex transactions? If so, you may be the clever fox we’re looking for to join a prestigious law firm client known for its innovative approach to corporate law. While providing support for corporate transactions, mergers, acquisitions, reorgs and more, you’ll handle everything from corporate filings and minute book reviews to due diligence and document drafting.
What you will be doing:
- Preparation of documents and related filings with respect to incorporations, amendments, amalgamations, dissolutions, continuances, etc. including extra-provincial and territorial registrations.
- Preparation of transactional documents related to share/asset purchase and sale transactions, tax reorganizations, financing, rollovers, etc.
- Preparation of routine/annual documents such as resolutions, minutes, redemptions, dividends, etc.
- Conduct basic and complex minute book reviews, preparation of deficiency reports, and rectification of said deficiencies.
- Conduct corporate and security searches and attend to registrations and filings.
- Organize, maintain, and update corporate files, records, and returns.
- Liaise with clients, lawyers, and other external parties as required.
- Track key renewal, expiry, and other important dates and deadlines.
What you will bring to the position:
- Minimum of three (3) years’ experience gained as a Corporate Law Clerk in a similar role.
- Completion of a post-secondary Legal Assistant or Law Clerk program.
- Knowledge of applicable corporate statutes and regulations, including OBCA, CBCA, CIA (Ontario), etc.
- Proficient in utilizing relevant legal software and technology, such as Athennian, Appara, Fast Company, CorpLink, MinuteBox, etc.
- Strong analytical and organizational skills with the ability to work both independently and as part of a team.
