Job Summary:
We are currently seeking a dedicated and experienced Corporate Advisor to join our dynamic team. Must have previous work experience as a Paralegal or experience in securities and corporate law.
The Corporate Advisor will be responsible for supporting the Board of Directors, maintaining corporate records, and ensuring compliance with legal and regulatory requirements.
Responsibilities:
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Take minutes, draft resolutions, and lodge required forms and annual returns with government bodies.
- Ensure policies are kept up to date and approved by the committee.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Deal with correspondence, collate information, and write reports.
- Ensure decisions made are communicated to the relevant stakeholders.
- Draft documentation for brokered and non-brokered financings, stock option grants/exercises, warrant exercises/re-registrations, names changes, stock consolidations and forward splits.
- Assist with document preparation related to prospectus filings, RTOs, escrow agreements, listings on TSX-V, CSE and NEO stock exchanges.
- File documents/reports on SEDAR, SEDI, BCSC, OSC, TSXV, NEO, CSE and BC Online.
- Liaise with transfer agents, stock exchanges and various securities commissions.
- Complete continuous disclosure filings and ensure that filings are made in a timely manner as required by the applicable securities legislation and stock exchange policies;
- Drafting and review of news releases and other corporate materials (website, investor decks, etc.)
- Assist with preparation of contracts and agreements;
- Perform other duties as required.
Qualifications:
- Bachelor’s degree in Business Administration, Law, or related field.
- Proven experience in a corporate governance role, such as Senior Paralegal or Associate Lawyer in securities and corporate law
- Strong understanding of corporate law and board best practices.
- Excellent communication and interpersonal skills.
- Detail-oriented with strong organizational skills.
- A team player but at the same time can work with minimal supervision.
Job Type: Full-time
Pay: $70,000.00-$90,000.00 per year
