What is the Opportunity?

In this role, you will be a key member of the Law Group Procurement team and will manage the risks to RBC associated with engaging third party suppliers. The employee will be responsible for providing advice with respect to the drafting and negotiation of certain third party supplier contracts, confidentiality agreements, renewals and amendments as well as providing advice and other assistance on template agreements and existing agreements. The employee will also manage the intake of new requests for legal support received by the Law Group Procurement team.

What will you do?

Provide assistance to Procurement, Supplier Managers and Business Units on certain third party supplier contracts, particularly software/hardware licensing arrangements and consulting arrangements. Assist with contract negotiations with suppliers.
Resolve legal issues relating to certain third party supplier contracts.
Advise and respond to questions from Procurement, Supplier Managers, and Business Units regarding RBC's contractual rights and obligations under existing third party supplier contracts.
Provide guidance, and related assistance for confidentiality agreements, renewals, and amendments to existing third party supplier contracts.
Advise Procurement and Business Units regarding template contracts that can be leveraged to document third party supplier contracts.
Act as primary escalation point for all issues and questions relating to low and medium risk third party supplier transactions.
Provide guidance, draft and provide related assistance regarding documentation of RBC intragroup service arrangements.
Conduct contract reviews for special projects such as M&A transactions and regulatory submissions.
Assist with the management of outsourced contracts, as applicable.
Manage the intake of new requests for legal support received by the Law Group Procurement team.

What do you need to succeed?

Undergraduate degree or relevant designation (e.g. Paralegal, Law Clerk); minimum three years of experience in contract drafting or negotiation.
Must have a collaborative work style, highly organized, and manage multiple tasks within challenging deadlines.
Must have sound computer skills, able to adapt and apply new technologies.
Excellent communication skills - written and oral, problem-solving, decision-making and analytical skills.
