Reporting to the Director, Corporate Secretariat of George Weston Limited, the Senior Law Clerk will manage the Loblaw Companies Limited portfolio, including all corporate secretarial matters, corporate transactions, securities law compliance and continuous disclosure requirements, while working closely with Board members, senior executives and other members of the Weston Group of Companies. The Senior Law Clerk will act as the lead on entity management for George Weston Limited and assist with corporate secretarial and entity management services for other domestic and international legal entities of the Weston Group.
Manage Board, Committee and Shareholder meetings (with some travel involved), as well as assist with the preparation and distribution of Board and Committee materials.
SEDAR, SEDI, TSX Securefile and other corporate filings.
Assist with transactions, including acquisitions, divestitures and financing matters.
Manage shareholder administration and maintain corporate records.
Assist with the preparation of continuous disclosure documents, such as the Annual Information Form and the Management Proxy Circular.
Assure compliance with relevant statutory requirements.
Provide input and assist with corporate governance matters.
Be involved in a variety of special projects.
Minimum 7 years’ experience as a Corporate or Securities Law Clerk within a public company, law firm or financial institution.
College Law Clerk Diploma or Paralegal License.
Eligibility for membership with the Institute of Law Clerks of Ontario.
Previous experience in the corporate secretariat department for a public company is an asset.
Good understanding of applicable statutes (for example, CBCA, OBCA, and partnership and business name registration statutes).
Good understanding of relevant securities legislation and TSX Company Manual.
Positive attitude with superior verbal and written communication, organizational and multi-tasking skills.
Experience with GEMS, Diligent and Workiva applications is an asset.
