The Investment Structure Management (“ISM”) team provides investment structuring support to investment teams and manages the operating risks of CPPIB group entities throughout the full investment life cycle working with other partners in Legal and Finance Analytics & Risk.
We are currently recruiting an Associate, Investment Structure Management, reporting to Senior Manager, Investment Structure Management. The role is twofold and will involve:
Providing investment structuring support across various investment departments (Private Equity, Active Equities, Credit Investments, Real Assets).
Supporting business operations functions such as reporting on CPPIB’s legal entities’ compliance with local regulatory, reporting and other operational requirements.
You will work collaboratively with investment teams, Core Services groups and external advisors in the following areas:
Investment Structuring Support
Support the Senior Manager and other ISM team members in the pre-close/structuring and ongoing maintenance phases of new investments, exits and restructurings, which include:
Work with internal partners to identify and address structuring and operational complexities of CPP Investments’ investment structures
Coordinate the establishment of new legal entities and address legal and governance requirements in support of CPP Investments' investment structures in partnership with investment teams and Core Services teams
Provide support for structuring activities (e.g., assisting in maintaining minutes and tracking deal timelines, project-managing completion of activities amongst internal partners, such as collaborating with various groups to ensure accurate recording of transactions in CPP Investments companies’ investment ledgers and financial statements)
Provide ongoing support to maintain and manage CPP Investments’ investment structures post-closing
Maintain ongoing operational activities of wholly owned CPPIB entities to ensure compliance with local legal and regulatory requirements
Liaise and maintain relationships with investment departments, Core Services and other service providers.
Through innovation, assist the Senior Manager to develop and enhance internal controls and monitoring procedures related to the deal closing process and how CPPIB entities are managed on an ongoing basis.
Ongoing Legal Entity Management
Support the Manager leading the Business Operations function to:
Maintain and monitor CPPIB’s legal entity compliance program
coordinate ongoing operational activities of CPPIB’s legal entities such as the operating, financial, and compliance deliverables of these entities
Ensure external and internal compliance deliverables are completed and such requirements are communicated to appropriate internal and external partners
Assist with workstreams relating to CPPIB's’ legal entity management system functionalities
Contribute to materials related to legal entity compliance reporting (e.g. OMC reporting) to senior management for regular compliance review meetings.
Partner with other internal CPP Investments internal partners to work on cross-functional workstreams and initiatives
Assist in various special projects and initiatives as CPP Investments works towards our CPPIB 2025 vision
The ideal candidate is enthusiastic about problem solving, solutions oriented, and comfortable dealing with complex and fast moving tasks with varying timelines. You must be a self-starter who works well under pressure. You must have strong interpersonal and business relationship skills, and enjoy working across Core Services and the Investment Departments.
3-5 years of related work experience (e.g. finance, consulting, private equity, accounting firm etc.)
Strong verbal and written communication skills
Excellent attention to detail and consistently high levels of accuracy
Strong analytical and problem-solving skills - ability to identify issues and determine course of action in situations with little or no precedent, analytical and holistic thinking is required.
A continuous learning mindset with a desire to learn about CPP Investments' business and recommend innovative solutions to business problems
Willingness to actively contribute to a positive and highly effective and collaborative team culture
A professional designation such as CFA, CA, CMA, CBV is considered an asset
M&A operational experience is an asset
A track record of academic achievement and professional advancement
