Your Team:
Join Flair's Legal team, where practical legal advice and strategic guidance support the Company's commercial, operational, and corporate objectives. Reporting to the Vice President, Legal, the Legal Counsel provides legal advice across corporate, commercial, procurement, and regulatory matters within a highly regulated aviation environment. This role supports strategic initiatives, commercial transactions, procurement activities, and contractual negotiations while helping manage legal risk and ensuring compliance with applicable legislation and regulatory requirements.
Working closely with executive leadership and cross-functional teams, the Legal Counsel drafts, reviews, and negotiates a broad range of commercial agreements, supports strategic sourcing initiatives, and provides clear, practical legal guidance to support informed business decisions. This role also contributes to corporate governance, policy development, and enterprise-wide initiatives while helping strengthen contractual governance and regulatory compliance across the organization.
This role is an on-site position based in one of our Calgary, AB; Edmonton, AB; Vancouver, BC; or Toronto, ON offices.
A Day in the Life:

Provide timely, practical, and business-focused legal advice on corporate, commercial, procurement, regulatory, and operational matters across the organization.

Draft, review, negotiate, and advise on a broad range of commercial agreements, including procurement contracts, strategic supplier agreements, vendor agreements, technology and software agreements, professional services agreements, aircraft and airport agreements, leases, confidentiality agreements, and other complex commercial transactions.

Partner with Procurement, Commercial, Finance, Information Technology, Operations, and other business units to support strategic sourcing initiatives, vendor selection processes, contract negotiations, and commercial transactions while ensuring appropriate legal protections and risk allocation.

Advise business leaders on contractual rights, obligations, commercial risks, liability provisions, indemnities, warranties, insurance requirements, service levels, pricing structures, and other key commercial terms to support informed business decisions.

Develop, review, and maintain standard contract templates, playbooks, clause libraries, and contracting processes to improve consistency, efficiency, and contractual governance across the organization.

Support corporate governance activities, including the preparation and review of Board materials, resolutions, corporate records, and required regulatory filings.

Advise on aviation regulatory requirements and applicable legislation, ensuring compliance with Transport Canada and other applicable regulatory authorities.

Support the development, review, and implementation of corporate policies, procedures, governance frameworks, and internal compliance documentation.

Identify, assess, and communicate legal and commercial risks associated with business initiatives, contracts, and operational activities while providing practical recommendations to mitigate risk and support organizational objectives.

Support dispute resolution matters, including claims, contract disputes, investigations, demand letters, and litigation, while coordinating activities with external legal counsel as required.

Manage relationships with external legal counsel in Canada, the United States, Mexico, and the Caribbean, ensuring legal services are delivered effectively, efficiently, and in a cost-conscious manner.

Monitor emerging legal, regulatory, and industry developments, assess their impact on the organization, and provide proactive guidance to business leaders.

Maintain accurate legal records, contract documentation, and corporate governance files in accordance with legislative, regulatory, and internal requirements.

What You Bring to the Role:

Education:

Bachelor of Laws degree from a recognized Canadian law school or an equivalent accredited institution.

Member in good standing with a Canadian provincial or territorial Law Society, with the ability to practice law in Canada.

Experience:
-
Minimum of five (5) years of post-call legal experience, with a primary focus on corporate, commercial, procurement, and contract law.
-
Demonstrated experience drafting, reviewing, negotiating, and interpreting complex commercial agreements, including procurement contracts, strategic supplier agreements, technology agreements, professional services agreements, and other commercial transactions.

Experience supporting procurement, strategic sourcing, vendor management, and commercial negotiations while balancing legal risk with business objectives.
-
Experience providing practical legal advice within a regulated industry; aviation, transportation, or another highly regulated industry is considered a strong asset.
-
Proven experience advising senior leaders and cross-functional stakeholders on legal, commercial, and operational matters.

Experience supporting corporate governance activities, regulatory compliance, and organizational policy development.

Experience managing and coordinating external legal counsel across multiple jurisdictions.

Excellent written, verbal, and interpersonal communication skills, with the ability to communicate complex legal concepts clearly to executive leadership and non-legal stakeholders.

Strong relationship-building and stakeholder management skills, with the ability to collaborate effectively across all levels of the organization.

Proven ability to manage multiple priorities, negotiate competing deadlines, and deliver high-quality work in a fast-paced environment.

Proficiency in Microsoft Office Suite and legal document management systems.

Ability to work independently while contributing effectively within a collaborative, cross-functional team environment.
