Senior Manager, Shareholder Operations
What is the opportunity?
The Senior Manager, Shareholder Operations supports the Corporate Secretary’s Department on a broad range of securities law and corporate governance matters including shareholder relations, director compensation, enterprise capital transactions, dividends and regulatory filings. This person acts as the primary contact for RBC retail shareholders and ensures they receive the necessary support and information on an ongoing basis, including in connection with RBC’s annual meeting of shareholders.
What will you do?
Manage the quarterly director compensation process for RBC and certain subsidiaries, including calculations, payroll, dividends, taxes, deferred stock unit grants and redemptions, insider reports, compensation election, and the relationship with both internal and external stakeholders involved in this process
Manage the quarterly dividend process, including board resolutions, press releases, regulatory filings
Manage RBC retail shareholder relations, including responding to questions and resolving concerns, managing the relationship with the bank’s transfer agent and certain other market intermediaries, and overseeing processes and practices to ensure shareholder satisfaction
Responsible for the distribution of materials to shareholders in connection with shareholders meetings
Oversee certain periodic filings with regulators and stock exchanges for RBC and certain subsidiaries, directors and senior executives
What do you need to succeed?
4+ years of experience in corporate secretary work, or similar experience
Experience in managing complex processes involving multiple internal and external stakeholders
Knowledge of securities law and corporate governance
Law clerk diploma or completion of the Canadian Securities Course
