Invico is currently seeking a Manager, Corporate Services. The successful candidate will possess strong organizational, communication, and relationship management skills along with exceptional attention to detail and a commitment to accuracy. This individual will play a key role in coordinating the organization’s corporate governance, regulatory, operational and administrative functions while serving as a key point of coordination across legal, compliance, finance, human resources and external service providers. This role reports directly to the Chief Accounting & Corporate Services Officer.
Responsibilities
Corporate Governance & Entity Management
- Maintain corporate records, minute books, governance documentation and legal entity structures.
- Coordinate corporate filings, registrations, annual returns, amendments and entity maintenance.
- Manage director/officer changes, resolutions and ownership/organizational records.
- Liaise with external legal counsel on governance and corporate matters.
Regulatory & Compliance Administration
- Coordinate regulatory registrations, filings and related recordkeeping.
- Support regulatory reviews, audits and information requests.
- Maintain records relating to restricted entities and regulatory obligations.
- Assist with maintaining compliance documentation, policies and procedures.
Banking, KYC & Counterparty Management
- Lead KYC onboarding and periodic reviews for banks, custodians, brokers, legal firms, auditors, and other counterparties.
- Develop and maintain centralized KYC and corporate information packages.
- Maintain beneficial ownership, signing authority, and corporate information records.
- Coordinate banking administration and account-related changes.
People Operations & Policy Administration
- Manage employee onboarding, offboarding, benefits administration, and related records.
- Maintain HR policy documentation and employee information systems.
- Monitor mandatory staff training and support personnel-related due diligence requests.
Miscellaneous
- Support insurance renewals and policy administration.
- Maintain accurate contact records within the customer relationship management system.
- Coordinate document execution processes.
- Other duties as requested.
Qualifications
- Diploma or bachelor’s degree in business, commerce, legal studies, public administration or a related field is preferred.
- 5+ years of experience in corporate administration, governance, compliance, legal administration and/or operations.
- Experience maintaining corporate records, legal entities, and governance documentation.
- Experience coordinating regulatory filings, registrations, and KYC processes.
- Experience in financial services, asset management, private markets, or a regulated environment is preferred.
- Strong attention to detail and organizational skills with the ability to manage multiple priorities and stakeholders.
- Strong verbal and written communication skills.
- Chartered Governance Professional (CGP) designation or related governance/compliance training considered an asset.
