Job Description:
The Senior Law Clerk (Corporate and Compliance) will work closely with the Chief Legal Officer, the Vice President, Legal M&A and Corporate and the rest of the legal team on all matters being handled by the legal group, with a primary focus on Canada. This position can be based out of the GFL’s head office in downtown Toronto or GFL’s corporate office in Vaughan (with attendance at the Yorkville office, as required), with the opportunity for a hybrid remote work arrangements subject to further discussion.
The successful candidate will be a member of the Institute of Law Clerks of Ontario (ILCO) and have at least 5 years of relevant experience with either a large law firm or in-house legal department. The successful candidate must be able to work independently as well as collaboratively and have the ability to exercise good judgment and a “do what it takes” attitude to getting the work done. Strong written and verbal communication, administrative and organizational skills are essential.

Responsibilities will include:
Corporate Records:

Maintain corporate records for all GFL subsidiaries including preparation of annual and other minutes and resolutions as required, preparation and completion of all corporate filings with appropriate jurisdictions across Canada.

Prepare and assist with routine incorporations, amendments, continuances, corporate reorganization (year end amalgamations), dissolutions, business name registrations and other related corporate maintenance matters.

Prepare required documentation to support the operating businesses for KYC requests, commercial transactions, applications, etc.
M&A Transactions and Financings:

Conduct corporate minute book reviews and prepare reports.

Conduct corporate searches and analyzing filings.

Track deadlines for lease renewals and post-acquisition or financing requirements.
General:

Maintain and where appropriate develop new filing and retrieval systems.

Other administrative duties as required.
Required Qualifications:

Member of the Institute of Law Clerks of Ontario (ILCO).

Minimum of 5 years of experience as a Corporate Law Clerk within the corporate services department of a large firm or in-house legal department.
Preferred Skills:

Able to take charge with a confident can-do attitude.

Able to work in a fast paced, rapidly changing, and pragmatic environment.

Able to prioritize, multitask and execute with strong attention to detail.

Proficiency with Microsoft Office, Microsoft Excel and Adobe.

Proficiency with legal document managements systems and software (e.g. NetDocuments, Litera/Workshare).
