Corporate Law Clerk / Legal and Compliance Assistant
Our client is looking for a Corporate & Litigation Law Clerk – who is passionate and experienced in the field of law. The ideal candidate must have the ability to manage multiple tasks and adapt to changing priorities, be organized, discreet, and detail oriented. The candidate is a self-motivated individual who enjoys being busy, able to work both independently and on a team. Their office successfully balances high standards of professionalism with a friendly and flexible work environment for its members. The position sits in-house within a lawyer-led legal and compliance function that manages a portfolio of Canadian, U.S., and offshore entities and an active, cross-border litigation and enforcement docket.
Full-time position.
Reports to: General Counsel and the compliance team.
In person (100%- in-office, no Remote or Hybrid) except in special circumstances.
Overtime, occasionally, as required.
Duties & Responsibilities:
– Performs a variety of legal and administrative duties while coordinating and assisting the team with assigned matters;
– Conducts complex corporate reviews and other related due diligence in connection with transactions; recommends and drafts rectification materials;
– Prepares corporate structure charts;
– Prepares and files articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions and other complex corporate transactions;
– Assist on the preparation of necessary documentation related to mergers, acquisitions, financings and asset purchases;
– Prepares routine minute book documentation (e.g. annual meeting materials, change/directors/officers/registered office address/ dividends/share provisions, etc.) and makes necessary filings;
– Contributes to the development of precedents;
– Drafts share provisions;
– Prepares and files business name, partnership and limited partnership registrations required by various registrars;
– Prepares and files Annual returns;
– Assists on Compliance filings;
– Monitors and communicates with lawyers with respect to ongoing corporate filings and other requirements;
– Consults with lawyers and assists in identifying necessary or appropriate corporate documentation, searches and filing in connection with transactions and other corporate requirements;
– Provides general support to lawyers in coordinating large transactions, drafting simple to complex closing documentation, conducting on-line searches, ordering reports and other matters relating to transactions;
– Proactively identifies issues and recommends solutions;
– Ensures all filings are organized and updated on a regular basis;
– Maintains Database directories for computerized records and hard legal files;
– Assembles document report books and index hyperlinking;
– Maintains corporate records, minute books, and registers for a portfolio of Canadian, U.S., and offshore entities, coordinating with local counsel and registered agents to keep filings current across jurisdictions;
– Maintains a centralized compliance and filing calendar, tracks recurring deadlines, and gives advance notice of upcoming annual returns, renewals, and regulatory filings;
– Supports litigation and enforcement matters by organizing pleadings and correspondence, maintaining case files and document indices, and coordinating with external counsel across multiple forums;
– Assists with document collection subject to legal holds, and the coordination of document productions with counsel and e-discovery vendors;
– Prepares and circulates signature and execution packages, manages closing logistics, and administers electronic signing through DocuSign;
– Handles onboarding, know-your-client, and anti-money-laundering documentation for entities and counterparties as required;
– Other duties as needed.
Requirements:
– Completion of law clerk program recognized by the Institute of Law Clerks of Ontario;
– A Member in good standing with the Institute of Law Clerks of Ontario;
– 5+ years of experience as a Law Clerk in a corporate/commercial law firm;
-In depth knowledge and understanding of the corporate statutes, legal procedures, and protocols;
– Maintaining and updating job knowledge and technical skills by identifying and participating in education opportunities;
-Proficiency with Microsoft Office (Word, Outlook, Excel) and PowerPoint, Adobe Acrobat, and DocuSign;
-Excellent communication skills; both written and verbal, interpersonal and time management skills;
– A positive attitude and professional image;
– Demonstrated ability to handle confidential and market-sensitive information with absolute discretion, and to comply with confidentiality, personal-trading, and information-barrier policies;
– Experience supporting cross-border matters and working with U.S. and offshore counsel is an asset;
–Combined corporate and litigation experience, is an asset;
– Comfort working in a fast-paced, deadline-driven environment with competing priorities and shifting timelines.

Salary Range: $75,000 – $100,000 annually (depending on experience)
