CleanTech Vanadium Morning Corp. (TSX-V: CTV; OTCQB: CTVFF; Frankfurt: C9R) is a mining company focused on discovering, producing, and supplying critical mineral resources from within and to the United States. CleanTech has an option to acquire more than 17,550 acres of mineral rights with historic Fluorspar resources across multiple projects in the Illinois-Kentucky Fluorspar District. CleanTech also owns a 100% interest in the Gibellini Vanadium Mine Project in Nevada.
Oracle Commodity Holding Corp. (TSX-V: ORCL; OTCQB: ORLCF) is a mining royalty company holding royalties on several precious metal and critical mineral mining projects.
The Position:
The Vice President, Legal (“VP Legal”) will be a key member of the corporate team, under the directionof the CEO and CFO, will be responsible for all legal, compliance and regulatory matters. This is a hands-on role supported by a corporate secretary.
This position will support Silver Elephant and its related companies, including CleanTech VanadiumMining Corp., and Oracle Commodity Holding Corp.
This position allows location flexibility: either be working out of the Vancouver downtown office, or working from home 4 days a week and 1 day a week in the office.
Key Responsibilities:
Ensure compliance with all regulatory matters and in particular securities law compliance;
Liaise with TSX, IIROC, OSC / BCSC, and potentially the NYSE-AMEX, SEC;
Collaborate with external counsel, CEO, CFO in preparing:
- Disclosure materials and regulatory filings such as AIF, 20-F
- Filings for NYSE-AMEX exchange
- Sales and purchase agreements (“SPA”) of mineral claims
- SPA of Canadian and foreign companies holding mineral claims
- Debt purchase agreements with mineral claims as liens
- Circular and AGM materials
- Plan of arrangement for merger of Canadian companies
- Plan of arrangement on spin out of subsidiaries
- Off take agreement of mineral concentrates with traders
- Debt project financing subscription agreements
- Mining equipment financing
- Employment agreements
- Legal due diligence documents for M&A
- Prospectus offering base shelf
- Prospectus short form
Manage news release dissemination from start to finish
Review technical reports for compliance;
Negotiate and closing various financial and property transactions;
Provide timely legal support on a wide range of corporate, securities, and other matters to
various internal departments;
Assist the preparation and review of public disclosure materials;
Manage corporate transactions and financings;
Prepare and support board and committee meetings;
Taking preemptive measures to avoid legal risks and conflicts;
Manage the corporate governance policies and procedures;
Coordinate and liaise with external counsel;
Company and Affiliate team-building, negotiate-procuring and managing of all internal
and external legal staff;
Deliver timely monthly reports to the Company CEO and CFO, deliver quarterly board
presentation adhering to approved deliverables, budget and schedule; and
Travel to company and affiliate mine sites and other offices in Nevada, Canada, Mongolia,
and Bolivia as required by the Company and Affiliates.

Project management skills.
Requirements:
Admission to the bar in the relevant jurisdiction.
Minimum of 3 years of legal experience, with a significant portion of that experience focused on the mining industry and publicly listed companies.
Demonstrated expertise in mining law, contracts, compliance, and regulatory matters.
Proven ability to provide strategic legal counsel and navigate complex legal challenges in the mining sector.
Excellent leadership and communication skills to collaborate effectively with cross-functional teams.
Sound judgment and ability to make well-informed decisions in complex legal matters specific to M&A.
