Job summary
MLT Aikins is currently seeking an experienced due diligence, compliance, and risk research paralegal. This individual will be passionate about research focusing on due diligence research for a variety of lawyers/clients. You will use a wide range of research tools to gather risk and compliance intelligence on individuals and companies. The research is then analyzed and developed into a narrative report, which is used by lawyer/clients to understand the general background of the subject, assess the subject’s legitimacy , to inform strategic decision-making.
Researchers work both independently and collaboratively on research and reports for a variety of domestic and international clients.
On a multi-jurisdictional level, you will be responsible for reviewing and evaluating transactional files and determining proposed due diligence to satisfy transactional obligations/requirements and conducting such due diligence searches. You will be responsible for reviewing security documents and attending to Personal Property Security/Bank Act registrations. This role requires strong attention to detail and excellent analytical skills to identify discrepancies and conduct due diligence and attending to security registrations.
Responsibilities include:
- Preparing Personal Property Security registrations (including financing statements amendments, renewals and discharges).
- Attending to filing of Bank Act filings (including registrations and discharges).
- Reviewing due diligence search plans from lawyers and clients and answer questions.
- Providing feedback on additional searches that may be required.
- Conducting extensive primary and secondary research using a variety of open-source and public records web-based tools.
- Analyzing and documenting customer and company research/findings to support decision-making processes.
- Keeping internal databases up to date.
- Raising potential legal issues based on research findings.
- Drafting clear, concise and thorough due diligence reports for lawyer/clients. Draft, mark up, rewrite partially or entirely, and provide constructive feedback, edits, and corrections.
- Maintaining an organized system for tracking and documenting the review process.
Qualifications include:
- Post-secondary diploma in a Legal Administrative Assistant or Paralegal Program from a recognized college program (a combination of education and experience will be considered)
- ·Minimum of 5 years experience conducting due diligence, risk, or compliance research across multiple jurisdictions.
- Alberta Personal Property Registration Accreditation is an asset and if accreditation has not yet been obtained, it is a future requirement of the role.
- Familiarity with public-records research and an understanding of due diligence research methodology.
- Effective communication and presentation skills and the ability to distill and explain complex issues to a variety of audiences.
- Strong attention to detail and analytical skills.
- Strong collaboration and teamwork skills.
- Excellent oral, editing and written communications skills
- You have the ability to work independently with minimal direction and thrive in a deadline driven, results-oriented environment and have the flexibility to adapt to rapidly changing priorities.
- Experience/knowledge of venture capital, private equity or related fields is considered an asset.
