The Team
Norton Rose Fulbright Canada LLP is currently looking to fill a permanent full-time position for a Corporate Paralegal in our Business Law Services Department . Reporting to the Team Lead, Business Law Services and the Manager, Legal Administration. This position will be working in collaboration with the Business Law Services Team in preparation of corporate documents for on-going corporate governance purposes or in connection with corporate transactions. The selected c andidate must be a self-starter with desire to handle increasing amounts of responsibility and must enjoy teamwork in a fast-paced environment. This is a billable position and must be able to accurately record and bill time.
You will be focusing on:
Assist in creation of corporations, partnerships, limited partnerships, non-profit corporations and other entities.
Prepare corporate documents as required for share transactions, dividends, continuances, revivals, amalgamations, arrangements, amendments, etc.
Conduct minute book reviews and preparation of ratifying resolutions.
Organize and help maintain corporate minute books, including preparation of resolutions and filings with corporate registry.
Conducting corporate due diligence searches.
Online filings with Industry Canada.
CORES Level I, II and III filings.
Review and assist in preparation of client correspondence.
Deal directly with lawyers and clients as needed.
Overall maintenance of client files as designated.
What you bring to the role:
Diploma from a recognized institution.
Minimum 5 years related experience.
A self-starter with energy and tenacity.
Excellent multi-tasking skills.
Attention to detail.
Proficiency in Microsoft Office tools.
Demonstrated diplomacy and tact in difficult situations; ability to maintain strict confidentiality.
CORES Level III
Personal Property Registry Accreditation (PPR) considered an asset.
Thorough knowledge of the Business Corporations Act (Alberta)
Thorough knowledge of the Canada Business Corporations Act.
ALF experience is an asset.
