Position Summary:
The Chief Legal and Regulatory Officer and Corporate Secretary is a key executive role responsible for managing the organization’s legal, regulatory, and corporate governance functions. This role provides strategic counsel to the executive team and board of directors, ensuring the company’s compliance with laws and regulations while promoting ethical standards and corporate governance best practices.
Key Responsibilities:
Legal Responsibilities:
- Manage all legal matters, including litigation, contract management, intellectual property protection, and corporate governance.
- Provide legal counsel to the executive team and the board of directors.
- Ensure the organization’s legal strategies align with its overall business objectives.
- Identify, assess, and mitigate legal risks.
- Create and implement policies and procedures to ensure legal compliance.
- Oversee the selection and management of external legal counsel.
- Ensure employees are educated on relevant legal issues.
- Develop and implement crisis management plans to handle legal disputes effectively.
- Collaborate with other departments, such as Finance, HR, and Operations, to ensure legal considerations are integrated into all aspects of the business.
Regulatory Responsibilities:
- Ensure the organization complies with all applicable laws, regulations, and industry standards across different jurisdictions.
- Monitor regulatory changes and assess their impact on the organization.
- Develop and implement regulatory compliance programs.
- Provide regulatory insights to guide executive decision-making.
- Identify, assess, and mitigate regulatory risks.
- Create and implement policies and procedures to ensure regulatory compliance.
- Review and update policies regularly to reflect changes in laws and regulations.
- Communicate regulatory matters to internal and external stakeholders.
- Maintain relationships with regulators, government agencies, and industry groups.
- Develop and oversee the company’s regulatory strategy.
- Manage relationships with regulators and ensure proactive compliance.
- Oversee the development and implementation of ethics and compliance programs.
- Promote a culture of integrity and ethical behavior within the organization.
- Conduct or oversee internal investigations into allegations of misconduct or violations of regulations.
- Develop and implement crisis management plans to handle regulatory issues effectively.
- Develop and execute a cohesive, integrated public and government relations strategy that advocates for effective regulatory change.
- Ensure employees are educated on relevant regulatory issues.
Corporate Secretary Responsibilities:
- Board Meetings:
- Organize and prepare agendas for board meetings.
- Distribute meeting notices, agendas, and board materials.
- Record and maintain accurate minutes of board meetings.
- Governance and Compliance:
- Ensure the company complies with its articles of incorporation, bylaws, and applicable laws and regulations.
- Maintain and update corporate records, including the company's register of members, directors, and officers.
- Ensure that board decisions and resolutions are documented and implemented.
- Communication:
- Act as a liaison between the board of directors and shareholders.
- Communicate with regulatory bodies, stock exchanges, and other stakeholders.
- Disseminate information about board decisions to relevant parties.
- Corporate Governance:
- Advise the board on corporate governance best practices and regulatory requirements.
- Facilitate board evaluations and assist in the development of board policies and procedures.
- Ensure the company's governance framework is aligned with legal and regulatory standards.
- Reporting:
- Prepare and file statutory reports, forms, and returns with regulatory authorities.
- Ensure timely and accurate disclosure of material information to shareholders and the public.
- Oversee the preparation and distribution of the company's annual report.
- Shareholder Relations:
- Manage shareholder communications and address shareholder inquiries.
- Oversee the maintenance of the shareholder register and the administration of shareholder meetings.
- Ensure compliance with securities laws and regulations related to shareholder rights and disclosures.
- Documentation and Record Keeping:
- Maintain custody of the company's corporate seal and official documents.
- Ensure the safekeeping and organization of corporate records, including contracts, agreements, and other legal documents.
- Oversee the preparation and execution of corporate documents and agreements.
- Support to Directors and Officers:
- Provide administrative support to the board of directors and executive officers.
- Assist in the orientation and training of new board members.
- Ensure directors have access to necessary information and resources for effective decision-making.
- Ethics and Integrity:
- Promote ethical behaviour and compliance with the company's code of conduct.
- Monitor and address conflicts of interest within the board and management.
- Support the development and implementation of ethics and compliance programs.
- Risk Management:
- Assist in identifying and managing legal and regulatory risks.
- Ensure the company's risk management framework is integrated into governance practices.
- Collaborate with the Chief Legal Officer and Chief Regulatory Officer on risk mitigation strategies.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Minimum of 10 years of legal experience, with at least 5 years in a senior leadership role.
- Extensive knowledge of corporate law, regulatory compliance, and risk management.
- Strong understanding of industry and regulatory environment.
- Excellent leadership, project management, and team development skills.
- Exceptional communication, negotiation, and interpersonal skills.
- Ability to think strategically and act proactively.
- High ethical standards and integrity.
