Everest Insurance Company of Canada (“EICC”) and the Toronto Branch of Everest Reinsurance Company (“Everest Canada”), members of Everest Group, Ltd. (together with its subsidiaries and affiliates, the “Company”), are currently seeking an Associate General Counsel and Chief Compliance Officer, Canada, for our Canadian operations at our Toronto, Ontario location.
Responsibilities:
Privacy and Complaint Liaison and Group Compliance Department Liaison:

Serve as Everest Canada’s Chief Privacy and Complaints Liaison Officer, and act as liaison with Everest Group Compliance Department generally for all Group Compliance interactions and initiatives.

Manage and address all customer queries and consumer complaints received from customers and provincial regulatory bodies.

Advise on and monitor Everest Canada’s compliance with federal and provincial privacy laws, receive and respond to requests, and ensure that company staff are appropriately informed and trained on the companies’ privacy policies and procedures.

Facilitate the Company’s collaboration with Group Compliance Department and its participation, as required, in second-line compliance initiatives related to sanctions and financial crimes, Ethics Guidelines (including conflicts of interest and employee stock trading), insurance and reinsurance law and regulation, privacy and data security, and other subject matters.
Regulatory & General Business Advice:

Provide broad regulatory counsel to Everest Canada’s business and operational functions.

Serve as primary legal contact and liaise as necessary with the Office of the Superintendent of Insurance (OSFI) and the Autorité des Marches Financiers (AMF) and all other provincial regulators.

Counsel the companies on Quebec language law requirements (including Bill 96) and Everest Canada’s business practices to ensure compliance with applicable laws.

Manage monthly, quarterly and annual corporate business filings with all Canadian federal and provincial regulators, notably OSFI and the AMF.

Manage and oversee Everest Canada’s insurance licensing in all provinces, including license applications for any new lines of business.

Oversee data regulatory reporting (such as with IBC and the AMF).

Negotiate, draft and edit various commercial, vendor, IT and other third-party corporate contracts.

Stay abreast of and provide counsel regarding changes in provincial laws and regulations as they relate to and impact the companies.
Corporate Governance:

Serve as Corporate Secretary to the Company, including drafting resolutions, preparing and maintaining meeting minutes, ensuring that Board composition and board charters/mandates comply with applicable law and Company policies.

Provide legal counsel on the development, implementation and maintenance of corporate governance policies and procedures in accordance with OSFI’s Corporate Governance Guidelines
Canadian Employment Law:

Provide counsel on broad range of Canadian employment law matters.

Serve as a trusted advisor to Human Resources and business stakeholders to help inform strategy and build necessary local employment policies and practices.

Ensure compliance with the Employment Standards Act (ESA) and Canadian Common Law requirements.

Support Human Resources relative to investigations, performance management, terminations and reorganizations; draft separation agreements.

Support the Benefits function with regard to leave and accommodation, ensuring compliance with local laws.

Work closely with Recruiting on drafting offer letters and employment contracts.

Engage and direct outside counsel on employment related matters as necessary.
Work Experience and Qualifications:
-
Minimum of 10 years of experience in working at a law firm or an in-house counsel position.

Must be admitted and a member in good standing of the bar of any Canadian jurisdiction.

Prior in-house experience a plus, but not required.
-
Fluency in French preferred, but not required.

Familiarity with OSFI’s Corporate Governance Guidelines.

Broad knowledge of federal and provincial compliance, regulatory and employment laws and regulations.

Experienced and knowledgeable with provisions of the Quebec civil code relating to compliance of Everest Canada’s underwriting and claims practices with Quebec law.

Experience with corporate secretarial matters.

Insurance claims or underwriting experience a plus, but not required.
-
Reinsurance knowledge a plus, but not required.
-
Experience advising business clients on complex matters and emergent events.

Litigation and claims-related experience a plus, but not required.

Candidates must possess strong negotiating and organizational skills, analytical ability, and excellent writing and communication skills.

Must be willing to travel as needed.

Strong work ethic, ability to self-manage and work in a team environment.
