Corporate Commercial Legal Assistant or Paralegal

Job Summary

We are seeking an experienced legal assistant or paralegal to work on our corporate/commercial team. We are a busy and well-respected law firm that employs friendly, down-to-earth and supportive staff. This position provides the following opportunities for someone with a positive attitude and an ability to work well with others:

* Prepare documentation for BC companies including incorporations and organizations, continuances,
amalgamations, dissolutions, reorganizations, restorations and drafting of special rights and restrictions attached to shares

* Assist lawyers with the preparation of legal documents relating to all stages of complex corporate transactions, including section 85 rollovers, section 86 share exchanges and private mergers and acquisitions

* Prepare and files document for partnerships, limited partnerships, business names and extra-provincial registrations

* Prepare documents to change the registered and records office, effect name changes, change share capital, issue and transfer shares, appoint and remove directors and officers and other basic miscellaneous resolutions

* Prepare documents for BC societies

* Conduct minute book reviews and prepare documents to correct minute book deficiencies

* Attend to filings with the BC Registrar of Companies

Salary: $40,000.00 to $80,000.00 /year

Required Education, Skills and Qualifications

We require the successful person to have the following skills and experience:

* Minimum of 2 years of intermediate corporate paralegal and transaction experience

* Graduate of a recognized paralegal program preferred but not required

* Highly organized with a strong attention to detail

* Ability to multi-task, establish priorities and work effectively under pressure

* Excellent communication and interpersonal skills with the ability to listen effectively and respond appropriately

* Ability to work well both independently and as a contributing member of a team, managing work and priorities successfully in each setting

* Comprehensive understanding of the Business Corporations Act (British Columbia) and the Societies Act (British Columbia)

* Excellent working knowledge of ALF and proficient in Word and Outlook
