Position Overview

Reporting directly to the General Counsel of Innocap Investment Management Inc., you will be a key player in our relationships with counterparties and negotiate with banks, prime brokers, hedge fund managers, and fund administrators across the globe. You will oversee the negotiation of trading agreements and other legal documentation for investments funds hosted on the Innocap Platform.

Main responsibilities

Lead the negotiation process of trading agreements for investments funds on the Innocap Platform (ISDA, Prime Brokerage, Futures Clearing, OTC Central Clearing, Repo, CDEAs etc.)
Oversee the process for market entry requirements, KYC and other requests from counterparties during fund onboarding
Review of OTC Confirmations
Oversee the preparation of US tax forms, forms related to Common Reporting Standards and other tax documentation for funds to benefit from lower rates of withholding tax
Analyze regulatory initiatives and changes (for instance, Dodd-Frank, FATCA, CRS, EMIR, ISDA Protocols, AIFMD, UCITS (Europe), etc.)
Present legal recommendations, draft memos for internal teams and fund board members as necessary
Oversee the work of two full-time resources (Legal Counsel and Technical Legal Advisor)
Qualifications

Bachelor's degree in law
Member of a relevant Bar association for at least 7 years
Strong experience with derivative instruments
Thorough knowledge of trading agreements entered between investment funds and financial institutions (must have experience with at least one of the following: prime brokerage agreements, ISDA agreements and/or global futures clearing agreements)
Experience in drafting and negotiating agreements
Knowledge of Canadian and US tax laws, as well as tax treaties
Knowledge of the regulatory framework of securities and financial markets (Canada, US, EU and Asia)
Proven ability to develop and maintain excellent business relationships with various stakeholders (e.g. investors, counter-parties and colleagues)
Thoroughness, diligence and attention to details
Supervisory experience
Ability to break-down and explain complex concepts
Excellent written and verbal communication skills in English are required
