ELLIOTT LAW is seeking a full-time Corporate Law Clerk or Legal Assistant.
The main responsibilities for this role include:
- Ability to draft and file Articles, including incorporations, amendments, amalgamations and dissolutions and prepare organizational documentation.
- Assist with necessary corporate resolutions and documentation required in connection with asset and share purchases and sales.
- Draft documents pertaining to corporate reorganizations, including share transfer and exchange transactions.
- Manage corporate files from inception through to final closing and reporting.
- Ability to work independently and take initiative.
- Conduct minute book reviews, maintain corporate records and draft annual resolutions.
- Conduct corporate searches including PPSA, bankruptcy, litigation and other searches and summarize the findings.
- Liaison with other law firms, accountants and financial institutions for corporate financings.
- Proficient in Fast Company, eCore, Microsoft Word/Excel and PCLaw.
- Candidate must be highly organized, detailed oriented and ability to thrive in a fast-paced environment while prioritizing accordingly.
- Excellent oral and written communication skills, with the ability to work well under pressure.
