In 2018, IDS acquired the Canadian parcel delivery company, Dicom Transportation Group Canada Inc. This was a first entry into the Canadian market as well as an integral part of the future growth strategy of IDS and GLS.
In 2021, pursuant to the success of the Dicom acquisition and integration within GLS, IDS further solidified its position in the Canadian market by acquiring Mid-Nite Sun Transportation Ltd. as well as its subsidiaries, including the reputable freight and logistics company, Rosenau Transport Ltd. (the “Rosenau Group”), leading GLS to occupy a strategically enviable position in the Canadian transportation industry. Moreover, in 2023, GLS also acquired Altimax Courier (2006) Ltd. (“Altimax”), a prominent air and ground service provider in Canada. This latest strategic move further aligned with the commitment of GLS to expand our organization’s footprint in the Canadian market.
Today, with the integration of the Rosenau Group and Altimax Courier, GLS Canada is an enviable national transportation provider that integrates warehousing, logistics, freight and parcel operations in a single infrastructure, which includes a real estate portfolio of sixty-five (65) terminals located across Canada, twenty-six (26) of which properties are fully owned by GLS Canada, as sole landlord. This portfolio includes important and vast hubs located in Montreal, Brampton, Edmonton and Vancouver.
LEGAL AFFAIRS AT GLS CANADA
A career in the legal department at GLS Canada means participating in the agile evolution and transformation of our business in order to have a direct impact on our clients and corporate aspirations. Legal affairs sits at the heart of the executive team, acting as a key partner in reaching our business objectives.
Our department deals internally with a variety of legal spheres including M&A for North America, labour and employment, corporate and commercial law, real estate, commercial litigation as well as regulatory matters, including privacy and transportation compliance. The legal department is also responsible for the corporate secretariat office, overseeing six (6) Canadian companies and one (1) U.S. affiliate.
We are currently in search of an enthusiastic Corporate Paralegal, adept at navigating tight deadlines, and eager to foster personal growth within a vibrant and multidisciplinary team.
CORPORATE PARALEGAL POSITION OVERVIEW
As a Corporate Paralegal you will prepare legal documents and conduct research to assist lawyers in all facets of corporate law, in addition to occasional assistance on litigation, real estate and employment matters.
The Corporate Paralegal will support the company’s lawyers through all stages of corporate transactions as well as with corporate governance and regulatory matters.
This includes reviewing and preparing board resolutions together with external counsel, as well as directly drafting and negotiating non-complex corporate and commercial agreements.
KEY RESPONSIBILITIES
General
§ Provide contract support for standard corporate agreements, such as non-disclosure, sales, transportation brokerage and independent contractor agreements, while ensuring effective communication with members of our operation and sales team.
§ Responsible for organizing legal documentation related to transactions, leases or sales agreements, as well as overseeing the execution (or, signature process), communication and archiving of finalized agreements.
§ Together with external counsel, coordinating, maintaining and filing corporate records, including articles of formation, merger agreements, dissolution documentation, board of director changes, annual reports, stock certificates, resolutions, etc.
§ Together with external counsel, draft annual corporate resolutions and maintain the company's corporate records, including federal, provincial, and non-provincial returns; as well as provide our parent company with yearly compliance reports confirming all is in good-standing, while updating all required GLS corporate central records in accordance with its requirements for all its international subsidiaries.
§ Perform general procedural duties dealing with corporate matters, such as obtaining tax numbers, communication with the Registraire des entreprises, Corporations Canada, etc.; liaising with our finance department on all related matters.
§ Prepare quarterly litigation reports, including drafting overall case summaries and status notes. Yearly coordination with our financial auditors to ensure we obtain the necessary confirmations from our external advisors on the status and risk exposure of our litigation matters, as well as preparing any related internal reports for our finance department.
§ Provide general administrative support to the legal team, including managing correspondence, documenting procedures and maintaining organized records.
Efficiency optimization
§ Participate in ad-hoc initiatives including organizing and maintaining documentation and helping implement necessary adjustments to legal processes.
§ Proactively seek and implement opportunities to streamline processes, enhance workflow efficiency, and improve overall operational effectiveness within the legal department. Be driven to identify areas for improvement and take the initiative to propose and execute solutions.
SKILLS AND QUALIFICATIONS
§ Diploma of College Studies in Paralegal Technology or Attestation of College Studies in Paralegal Studies.
§ Minimum of three (3) to five (5) years of experience as a Corporate Paralegal.
§ Proficiency in MS Office applications and legal research databases, with ability to conduct independent research, as required, as the legal department grows.
§ Bilingual: English and French, both written and spoken.
§ Strong written and oral communication skills as well as excellent reading comprehension.
§ Able to effectively multi-task, manage time-sensitive documents and have exceptional organizational skills in a fast-paced environment. Autonomous, rigorous and detail oriented particularly considering the requirements of the corporate secretariat office.
§ Able to function effectively in a team-oriented environment within and outside the legal department, across different functions. Collegial attitude, solutions-oriented.
TERMS, SALARY AND BENEFITS
§ Reporting directly to the Vice-President, Legal Affairs.
§ Full-time, permanent position with a six (6) month probation period.
§ Salary beginning at CAD 75,000.00 up to a maximum of CAD 100,000.00, as per experience. Annual salary review, as per usual HR process applicable to all of our employees.
§ Three (3) week vacation period, with personal day allowance as per Federal regulations.
§ Hybrid work environment requiring an in-house presence of two (2) days per week, between Tuesdays and Thursdays, at our executive offices located at 10500 Ryan Avenue, Dorval, Québec, H9P 2T7. During the 6-month probation period, this position will however require an in-office presence of at least four (4) days per week, from Monday to Thursday, to allow for proper training and integration (which could be reassessed, as per performance).
