Full job description

The Whispering Pines / Clinton Indian Band (WPCIB) is one of the seventeen bands within the Secwepemc territory. Traditionally from the Clinton area, WPCIB membership includes ancestral lineage from both the Pelltíq’t te Pésellkwes (People of the White Earth/ Kelly Lake) and Steke’7ús (People of the Little Hanging Bridge (Big Bar)). As a Band we are committed to serving our community and membership as well as building a future that upholds our Ancestral responsibilities.

Metwécw Resources Group (“MRG”) Ltd. MRG is WPCIB’s newly formed parent economic development corporation. It holds or oversees shares and interests in subsidiary companies that support WPCIB’s economic development, own-source revenue, partnerships, employment, and long-term community benefit. Directors provide governance and oversight; they do not manage day-to-day operations.

MRG is seeking directors who can provide strategic oversight, sound business judgment, and respectful governance leadership. Directors will help guide MRG’s development as a strong, transparent, and accountable economic development corporation that reflects WPCIB priorities and Secwepemc values.

What Directors Do

Attend and prepare for Board meetings.
Review business plans, budgets, financial information, and perform opportunity assessments.
Ask informed questions and contribute to sound decisions.
Oversee risks, policies, management reporting, and subsidiary performance.
Respect confidentiality, manage conflicts, and act with integrity.
Support long-term economic self-determination for WPCIB.

Skills and Experience Sought

Candidates may bring experience in one or more of the following areas:

WPCIB community knowledge, Secwepemc culture, language, law, or protocols;
economic development, entrepreneurship, business operations, or management;
finance, audit, accounting, banking, investment, or budgeting;
governance, boards, policy, law, risk, or compliance;
natural resources, land, construction, infrastructure, real estate, procurement, or project development;
partnerships, negotiation, government relations, Indigenous relations, or stakeholder engagement;
human resources, leadership, training, or organizational development.

Candidates are not expected to have all of these skills. WPCIB’s objective is to appoint a balanced Board whose members collectively bring the required experience, judgment, and community connection.

Time Commitment

Directors should expect to attend regular Board meetings at least quarterly and potentially every two months, with additional meetings during start-up, annual planning, or major transactions. Estimated annual time commitment is approximately [40 to 60] hours for directors and [50 to 80] hours for the Chair, subject to confirmation.

Directors should be prepared for additional time demands during major transactions, financing, negotiations, subsidiary formation, or urgent matters, and are expected to attend at least [75%] of regular Board meetings annually.

Compensation

Directors will receive compensation and expense reimbursement in accordance with the approved MRG compensation policy. Proposed compensation is $300 for half-day, $600 for full day per Board meeting, $100 per hour to a maximum of 2.5 hours or $250 per committee meeting, and reimbursement of pre-approved expenses. Chair compensation will be $500 for half-day, $1,000 for full day.

Eligibility

Candidates must meet the legal requirements for directors and must disclose actual, potential, and perceived conflicts of interest.
