Position Summary
The Corporate/Commercial Legal Assistant (Junior) is responsible for supporting Beacon Law's corporate and commercial practice across a range of duties, including corporate annual maintenance and compliance, commercial transactions, financing, and secured lending. Strong organizational skills are essential, requiring the ability to independently develop plans and document lists while remaining adaptable to direction and restructuring as needed. This position requires a strong working knowledge of source legislation with a high degree of drafting accuracy.
Accountabilities
- Prepare and file annual reports, annual maintenance packages, and corporate registry updates including changes of address, directors, and officers through BC Online and Corporate Online.
- Draft directors' resolutions, consent resolutions, and other corporate approvals; maintain minute books, share registers, and ledgers in electronic and physical form.
- Conduct name searches for incorporations, amalgamations, and name changes; support incorporations, dissolutions, and corporate reorganizations as directed.
- Track corporate compliance deadlines across the client base and proactively flag upcoming obligations.
- Draft, edit, format, and revise legal documents ensuring timely and accurate filing in compliance with limitation dates and legislation.
- Conduct and analyze due diligence including corporate searches, title research, off-title inquiries, PPSA and lien searches, and asset searches; summarize and report findings.
- Calculate, draft, and analyze statements of adjustments and financial documentation; manage receipt and disbursal of funds in accordance with financial reporting requirements.
- Liaise with lenders, brokers, legal professionals, and clients to ensure efficient file progression and timely transaction closings.
- Administer client files including opening, conflict searches, client identification, scanning, electronic filing, billing, and invoicing.
- Ensure adherence to legal, regulatory, and firm policies to mitigate risk and maintain compliance.
- Support the legal team with additional administrative tasks as required.
Who You Are:
- Proven working experience as a Legal Assistant with corportate/commercial exposure of 1+ years
- Familiarity with BC corporate law, legal procedures and protocols, and day-to-day operations of a legal office
- Hands on experience with BC Online, ECorp, MyLTSA, Unity, and Microsoft Office Suite
- Strong English proficiency both written and verbal, with the ability to communicate effectively at all levels of an organization, both internally and externally.
- Practice sound discretion and judgement while handling multiple activities and competing priorities
- Ability to maintain a high degree of accuracy while tracking open files, and ensuring relevant information and documents are clearly laid out for others to review and assist.
- Specialized industry experience may be an asset.
- Legal Assistant or Paralegal certification or diploma (preferred).
