This posting is applicable to: Internal/External Applicants

Skilled Trades Ontario (STO) is a Crown agency responsible for skilled trades
certification in Ontario, which includes:

Establishing apprenticeship programs, including training standards, curriculum

standards and certification exams.

Administering apprenticeship programs, including approving apprentices and

sponsors, registering training agreements and assessing applications for
apprenticeship program completion.

Issuing certificates of apprenticeship to completed Ontario apprentices.
Assessing experience and qualifications of individuals who have not completed

an apprenticeship program in Ontario.

Administering exams, including certifying exams, in all trades subject to

certifying exams.

Issuing Certificates of Qualification in all trades with certifying exams.
Renewing Certificates of Qualification in compulsory trades.
Maintaining a Public Register of people authorized to work in compulsory

trades.

Researching apprenticeships and the trades.

The Assistant Corporate Secretary is a governance professional responsible for
supporting the Corporate Secretary & Coordinator of Legal Affairs in delivery,
administration, and continuous improvement of Board and committee governance
functions.

The role serves as a key governance resource and advisor, exercising considerable
independent judgment in the planning, coordination, and execution of governance
processes, board activities, and compliance obligations. The position provides
governance advice and guidance to executives, Board members, committee Chairs, and

senior leaders regarding governance requirements, Board procedures, delegated
authorities, compliance obligations, and governance risks.
The role also supports governance activities arising from Skilled Trades Ontario's
statutory responsibilities under the Building Opportunities in the Skilled Trades Act, 2021
(BOSTA), including governance oversight of hearing-related processes, procedural
compliance requirements, and the administration of delegated adjudicative functions.
The position assists with governance initiatives, ensures the quality and integrity of Board
materials and records, supports compliance with legislative and regulatory requirements,
and contributes to the development and implementation of governance best practices
across Skilled Trades Ontario.

While the position has no direct reports, it provides functional leadership across
governance workstreams by establishing standards, coordinating contributors,
influencing outcomes, and driving governance priorities to completion.

Responsibilities:
Governance & Board Operations:

Lead the planning, coordination and execution of assigned Board and committee

governance cycles, ensuring alignment with legislative, regulatory, and
governance requirements.

Act on behalf of the Corporate Secretary & Coordinator of Legal Affairs on

assigned governance matters and meetings within delegated authority.

Provide governance advice and recommendations to executives, Board members,

committee Chairs, and senior leaders regarding governance obligations,
procedural matters, and decision-making authorities.

Prepare and quality assure agendas, Board submissions, briefing materials,

resolutions, minutes, and governance records to ensure completeness, accuracy,
and decision readiness.

Assist with maintaining governance records, corporate registers, by-laws,

committee terms of reference, resolutions, and official governance documentation.

Manage governance calendars, Board work plans, action trackers, and decision

registers, identifying risks and issues requiring escalation.

Lead governance improvement initiatives, governance education activities, Board

onboarding programs, and implementation of governance best practices.

Monitor governance requirements arising from BOSTA and advise on governance

practices, procedural obligations, and Board-related implications associated with
statutory responsibilities.

Support governance activities related to committees, panels, or decision-making

bodies established under STO's legislative mandate.

SKILLED TRADES ONTARIO SASSISTANT CORPORATE SECRETARY

Legal Coordination & Risk:

Manage intake, triage, and administration of assigned legal matters under the

direction of the Corporate Secretary.

Coordinate activities with external legal counsel and monitor deliverables,

timelines, and action items.

Conduct first-level reviews of contracts, agreements, governance instruments, and

related documentation to identify risks, compliance concerns, and approval
requirements.

Research and analyze legislative, regulatory, and policy developments affecting

Skilled Trades Ontario and provide recommendations regarding governance
implications.

Research and analyze legislative developments, regulatory changes, and

emerging issues related to BOSTA and advise on potential governance,
compliance, and operational impacts.

Identify, assess, and escalate governance, legal, compliance, procedural, and

reputational risks and recommend mitigation strategies and corrective actions.

Assess procedural, compliance, and governance risks associated with the

exercise of statutory authorities and recommend mitigation strategies.

Maintain governance and legal risk trackers and support implementation of

governance improvements and risk mitigation measures.

Policy & Compliance:

Manage the lifecycle of assigned corporate policies within STO's governance

framework.

Advise policy owners and stakeholders regarding policy governance requirements,

approvals, implementation, and review obligations.

Evaluate policies and governance documents for alignment with legislation,

directives, corporate authorities, and governance standards.

Maintain policy registers, governance obligation trackers, compliance calendars,

and related reporting tools.

Coordinate and validate evidence supporting Agencies and Appointments

Directive compliance reporting requirements.

Monitor compliance trends and identify gaps, risks, and opportunities for

improvement.

Lead enhancements to governance controls, policy governance processes,

compliance monitoring practices, and reporting frameworks.

Hearings Coordination:

SKILLED TRADES ONTARIO SASSISTANT CORPORATE SECRETARY

Coordinate statutory hearing and adjudicative processes conducted under BOSTA

and related legislative authorities, ensuring compliance with legislative
requirements, procedural fairness, and established governance practices.

Interpret procedural requirements and establish hearing timelines and key

milestones.

Prepare and quality assure hearing notices, records, submissions, and related

documentation.

Act as a neutral operational liaison among hearing participants, legal counsel,

decision-makers, and stakeholders.

Maintain official hearing records and case management systems while ensuring

confidentiality and procedural fairness.

Monitor compliance with procedural directions and legislative requirements.
Provide procedural guidance and governance support to internal stakeholders

involved in hearing and decision-making processes established under BOSTA.

Identify procedural risks and governance implications that may affect hearing

outcomes and recommend corrective measures.

Monitor legislative and procedural requirements related to hearings and

recommend enhancements to policies, procedures, templates, and controls.

Contribute to the development and continuous improvement of hearing

procedures, controls, templates, and governance frameworks.

Qualifications:
Experience:

5 years of progressive experience in corporate governance, board administration,

public administration, regulatory governance, legal coordination, or a related field.

Experience supporting boards, committees, executive leadership, or senior

decision-making bodies.

Experience providing governance advice and recommendations to executives,

Boards, committees, or senior leaders.

Experience interpreting legislation, directives, governance frameworks, and

regulatory requirements.

Experience leading cross-functional initiatives and influencing stakeholders

without formal authority.

Experience working within a regulatory, tribunal, adjudicative, governance, or

public-sector environment is considered a strong asset.

Capabilities:

Governance judgment and analytical thinking.
Strong communication, influencing, and stakeholder management skills.
Ability to manage multiple complex governance priorities simultaneously.
Sound judgment, discretion, and political acuity.

SKILLED TRADES ONTARIO SASSISTANT CORPORATE SECRETARY

Knowledge of:

Knowledge of board governance, governance frameworks, delegated authorities,

fiduciary responsibilities, and public-sector accountability requirements.

Knowledge of governance risk management, policy governance, compliance

monitoring, and organizational accountability frameworks.

Ability to interpret legislation, directives, policies, and governance requirements

and translate them into practical advice and governance solutions.

Expertise in preparing and reviewing board agendas, submissions, resolutions,

minutes, and governance reports.

Knowledge of the Building Opportunities in the Skilled Trades Act, 2021 (BOSTA),

including Skilled Trades Ontario's statutory mandate, governance responsibilities,
and adjudicative processes.

Understanding of administrative law principles, statutory decision-making,

procedural fairness, and natural justice within a regulatory environment.
