Career Contacts is hiring on behalf of our client for a Corporate Secretary/Paralegal to join their team in Vancouver. Our client is seeking an experienced corporate governance and legal administration professional who will support senior leadership and a diverse portfolio of public and private companies with regulatory compliance, corporate records management, and governance activities.
Reporting to the Director, this role is designed for someone who brings strong organizational skills, sound judgment, and the ability to manage multiple priorities in a fast-paced professional services environment. The successful candidate will contribute to financings, equity administration, board and shareholder processes, stock exchange filings, and ongoing corporate governance initiatives while ensuring accuracy and high-quality client service.
Working within a collaborative and team-oriented culture, this position plays a key role in supporting complex corporate transactions and maintaining compliance with public company regulatory requirements. The ideal candidate is detail-oriented, proactive, and confident managing competing deadlines while contributing to a dynamic, client-focused, and high-performing workplace environment.

Pay: $100,000 to $120,000 per year
Location: Downtown Vancouver, B.C. (mostly on-site with some hybrid)

What You'll Be Doing:
- Support equity financings, including private placements, subscription agreements, closing documentation, and regulatory filing
- Administer share-based compensation programs, including stock options, RSUs, DSUs, warrant exercises, and maintaining equity tracking system
- Prepare and maintain issued and outstanding securities records, along with monthly equity grant reporting and reconciliations
- Coordinate and file stock exchange and regulatory submissions, including TSXV/CSE filings and SEDI insider reports
- Maintain corporate minute books, statutory records, resolutions, and governance documentation in compliance with corporate legislation
- Support planning and execution of board meetings, AGMs, and shareholder meetings, including preparation of materials and logistics
- Develop and maintain annual corporate calendars, including regulatory deadlines, board schedules, equity vesting events, and corporate filings
- Build and maintain strong client relationships by delivering service-oriented support, ensuring clear and effective communication, and providing practical, value-added governance and compliance recommendations
- Maintain high standards of quality assurance by reviewing work for accuracy and consistency, and providing constructive feedback to improve deliverables and support continuous improvement across the team
- Support staff management and development by assisting with coaching and mentoring, promoting strong judgement and work quality, and fostering a collaborative, transparent, and high-performing team culture
What You Bring:
- 3+ years of progressive experience as a Corporate Secretary or Paralegal
- Post-secondary degree/diploma with a related law clerk or paralegal designation preferred
- Strong knowledge of public company regulatory requirements and legal documentation
- Advanced proficiency in Microsoft Office, Adobe Acrobat, DocuSign, and Teams
- Excellent project management, organizational, and communication skills
- Collaborative, high-energy, client-focused approach with strong attention to detail
- Ability to communicate clearly and professionally in English; Spanish and/or French is an asset
