Job Summary
The Legal & Affairs Manager is responsible for supporting DEC’s legal, contractual, corporate governance, compliance, and business affairs requirements across the organization.
This role will work closely with senior leadership, project teams, procurement, finance, human resources, and external legal counsel to identify and manage legal and commercial risks, review and negotiate agreements, maintain corporate records, support regulatory compliance, and help ensure that DEC’s business and project activities are conducted in accordance with applicable laws, contractual obligations, and internal policies.
The successful candidate will bring strong commercial judgment, attention to detail, and the ability to manage legal and corporate matters within a fast-paced construction and project environment.
Key Responsibilities
Legal & Contract Management
· Review, draft, negotiate, and administer a variety of commercial and corporate agreements
· Review construction contracts, subcontractor agreements, consulting agreements, vendor agreements, purchase agreements, NDAs, service agreements, and other business contracts
· Identify contractual risks, obligations, exclusions, liabilities, indemnities, insurance requirements, warranties, termination provisions, and dispute-related terms
· Work with project, procurement, and management teams to ensure contractual obligations are understood and properly administered
· Support contract negotiations with clients, subcontractors, consultants, suppliers, and other business partners
· Maintain organized records of contracts, amendments, notices, correspondence, and supporting legal documentation
· Develop and maintain standard contract templates, clauses, forms, and legal documentation
· Monitor contract expiry dates, renewal requirements, notice periods, and other key contractual milestones
· Support the preparation and review of change orders, claims, notices, dispute correspondence, and other contractual documentation
· Coordinate with external legal counsel when specialized legal advice or representation is required
Construction & Commercial Risk
· Provide guidance to management regarding contractual and commercial risks associated with construction projects
· Review project documentation to identify potential exposure related to delays, deficiencies, scope changes, payment issues, claims, or contractual disputes
· Support project teams in documenting contractual issues and maintaining appropriate records
· Assist with dispute avoidance and early resolution of contractual matters
· Support management with construction lien, payment, subcontractor, and contractual compliance matters as required
· Monitor contractual requirements relating to insurance, bonding, warranties, guarantees, and other project securities
· Work collaboratively with Finance and Operations to support risk management and commercial decision-making
Corporate Affairs & Governance
· Maintain corporate records, resolutions, agreements, registrations, and other governance documentation
· Support corporate filings, registrations, licences, renewals, and organizational documentation
· Assist senior leadership with corporate governance matters and documentation
· Coordinate legal requirements associated with new corporate entities, partnerships, joint ventures, or business arrangements
· Maintain records relating to directors, officers, corporate structure, and authorized signatories
· Support due diligence activities related to partnerships, investments, financing, acquisitions, or strategic business opportunities as required
· Prepare or coordinate corporate resolutions, approvals, and other governance materials
Regulatory & Compliance
· Monitor applicable legal and regulatory requirements affecting DEC’s operations
· Support compliance with construction, employment, privacy, occupational health and safety, corporate, commercial, and other applicable legislation
· Assist in developing, reviewing, and updating internal policies, procedures, and compliance frameworks
· Support internal investigations and compliance reviews where required
· Maintain appropriate records relating to legal and regulatory compliance
· Monitor legislative and regulatory developments that may affect DEC’s projects or business operations
· Communicate relevant legal and compliance requirements to internal stakeholders
Insurance & Risk Management
· Support the administration and review of corporate and project insurance requirements
· Coordinate with insurance brokers, project teams, finance, and external advisors regarding coverage requirements
· Review certificates of insurance and contractual insurance obligations
· Assist with management of claims, incidents, and supporting documentation
· Monitor risk-transfer provisions within client, subcontractor, consultant, and vendor agreements
Policies & Documentation
· Develop and maintain legal, contract-management, and corporate-governance procedures
· Establish appropriate document-control practices for legal and contractual records
· Ensure contracts and sensitive legal information are securely maintained with appropriate access controls
· Assist with the development of approval authorities, signing protocols, and contract review processes
· Prepare legal summaries, risk assessments, reports, briefing materials, and management recommendations
· Maintain confidentiality and appropriate handling of privileged and commercially sensitive information
Internal Business Support
· Provide practical legal and contractual guidance to departments across the organization
· Partner with Procurement on subcontractor and supplier agreements
· Support HR on employment-related agreements, policies, confidentiality matters, and other legal issues as required
· Support Finance with contractual payment terms, guarantees, insurance, collections, and commercial matters
· Work with project leadership on contractual notices, project documentation, claims, and risk management
· Assist senior management with strategic business and corporate matters
· Provide training and guidance to employees on contracts, compliance, confidentiality, document retention, and related legal matters
Required Qualifications
· Bachelor’s degree in Law, Legal Studies, Business, Commerce, or a related discipline
· Proven experience in legal, contract management, corporate affairs, commercial management, or a related role
· Strong understanding of commercial contracts and contractual risk
· Experience reviewing, drafting, and negotiating business agreements
· Strong written and verbal communication skills
· Excellent analytical, organizational, and problem-solving abilities
· Strong attention to detail and ability to manage multiple priorities
· Ability to communicate complex contractual or legal matters clearly to non-legal stakeholders
· Ability to exercise sound judgment and maintain strict confidentiality
· Proficiency in Microsoft Office and document-management systems
· Ability to work independently while collaborating effectively with cross-functional teams and senior leadership
Preferred Qualifications
· Law degree (LL.B. or J.D.) and/or eligibility for membership with a Canadian provincial law society
· Experience within the construction, engineering, infrastructure, EPC, real estate development, or data center industry
· Experience with construction contracts, subcontracts, procurement agreements, and project-related claims
· Knowledge of construction lien legislation and payment requirements
· Experience working with external legal counsel, insurers, bonding companies, and regulatory bodies
· Understanding of construction insurance, bonding, indemnities, warranties, and risk allocation
· Experience supporting corporate governance and regulatory compliance
· Experience managing contracts across multiple jurisdictions in Canada and/or the United States
· Strong negotiation and stakeholder-management skills
· Commercial mindset with the ability to balance legal risk with business objectives
· Ability to work effectively in a fast-paced, project-driven environment
